Software Mind, a company that belongs to the Ailleron Group, has executed a preliminary agreement of purchase of 59.01% of the shares in Chmurowisko sp. z o.o. of Warsaw. Chmurowisko is a recognized provider of comprehensive cloud services and has valuable competences in terms of artificial intelligence and the Internet of Things.

Chmurowisko Sp. z o.o. has been on the market since 2017, providing services in terms of supporting and developing cloud environments, migrating data to clouds, training, design, as well as implementing and securing cloud solutions. It also works on artificial intelligence technologies and builds Internet of Things solutions. The Chmurowisko team is composed of highly qualified experts who hold specialist competences in terms of the technologies developed by the world’s largest cloud suppliers, i.e. Microsoft, Amazon, Google, and Oracle. The company’s clients include Media Expert, ABB, DPD, and Polish Radio.

The preliminary agreement specifies the terms of Software Mind’s investment in Chmurowisko and is a result of negotiations and a positive outcome of a due diligence review. The transaction consists in purchasing from the existing shareholders of Chmurowisko 59.01% of the shares, as well as in increasing the company’s share capital and Software Mind taking up 30 new shares. Ultimately, Software Mind will hold 66.9% of the shares in Chmurowisko and the same percentage of votes at the general meetings. Together with the agreement of purchase, a shareholders agreement was also signed, which regulates mutual relations and corporate governance, including the influence of the existing managing partners on the operations of Chmurowisko—they will now serve as the members of the management board.
