Software Mind, a member of the Ailleron Group, invests in Chmurowisko

Software Mind, a company that belongs to the Ailleron Group, has executed a preliminary agreement of purchase of 59.01% of the shares in Chmurowisko sp. z o.o. of Warsaw. Chmurowisko is a recognized provider of comprehensive cloud services and has valuable competences in terms of artificial intelligence and the Internet of Things.

“Choosing Chmurowisko is a consequence of the expectations of our clients and the directions of further development of Software Mind. Cloud solutions are key tools in our work with clients. Today, they are simply a necessity. According to global reports and analyses, the outlays on digital transformation will continue to grow, and at a pace of up to 17% annually. Companies want to and will want to use cloud solutions. Consequently, having competences in this area is a strategic move towards further dynamic development of our company,” Grzegorz Młynarczyk, the President of Software Mind sp. z o.o. and a Vice President at Ailleron S.A., says.

Chmurowisko Sp. z o.o. has been on the market since 2017, providing services in terms of supporting and developing cloud environments, migrating data to clouds, training, design, as well as implementing and securing cloud solutions. It also works on artificial intelligence technologies and builds Internet of Things solutions. The Chmurowisko team is composed of highly qualified experts who hold specialist competences in terms of the technologies developed by the world’s largest cloud suppliers, i.e. Microsoft, Amazon, Google, and Oracle. The company’s clients include Media Expert, ABB, DPD, and Polish Radio.

“In line with out strategy, together with Enterprise Investors, we intend to build a leading global group of software houses. Investing in Chmurowisko is an element of a plan of dynamic development and capturing a share of the market, especially that the scope of the services provided by the company perfectly complements the competences of both Software Mind and the entire Ailleron Group,” Grzegorz Młynarczyk, the President of Software Mind sp. z o.o. and a Vice President at Ailleron S.A., adds.

The preliminary agreement specifies the terms of Software Mind’s investment in Chmurowisko and is a result of negotiations and a positive outcome of a due diligence review. The transaction consists in purchasing from the existing shareholders of Chmurowisko 59.01% of the shares, as well as in increasing the company’s share capital and Software Mind taking up 30 new shares. Ultimately, Software Mind will hold 66.9% of the shares in Chmurowisko and the same percentage of votes at the general meetings. Together with the agreement of purchase, a shareholders agreement was also signed, which regulates mutual relations and corporate governance, including the influence of the existing managing partners on the operations of Chmurowisko—they will now serve as the members of the management board.
